Insurance Firm Acquisition: Description linking work done and outcome

    Context

Insurance group sought to expand its business and capacity through vertical acquisition to absorb market demand for specialty risks. Acquiring licenses independently is a time-consuming process and the acquisition represented a fast-track to the result. The target company was in a particular liquidation stage which required comprehensive assessment of its value and proper due diligence in order to map and mitigate risks.

    Solution

A peer valuation model was built to support the transaction bid alongside the DCF modeling for assessing synergies and value creation. Solvency and risks of the target company’s portfolio were assessed providing clear insights onto the transaction risks. Finally, a comprehensive bottom-up business plan was built in cooperation with the CFO to the decision on geographic expansion alternatives and allow tracking the development of the group’s financial results and KPIs.

    Outcomes

Strategic Decision Support: Delivered comprehensive analyses that directly informed Board-level decision-making, preventing a high-risk acquisition with significant regulatory and solvency exposure.

Process Enhancement: Established robust M&A evaluation framework that strengthened the organization's due diligence capabilities for future complex transactions.

Geographic Expansion: Provided insights and KPI system that guided leadership to achieve successful geographic expansion opportunities.

Stakeholder Communication: Enhanced investor and Board confidence through clear, professional communication of transactions and risk assessments.
